Terms of Service

These Terms of Service ("Terms") govern your access to and use of Dhanafaa ("Service"), a software-as-a-service platform operated by Srimatadevi Systems LLP ("Company", "we", "us", or "our").

By creating an account, starting a free trial, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. About Us

2. The Service

Dhanafaa is a profit-and-tax intelligence platform for Indian e-commerce sellers. It connects to marketplace accounts (such as Amazon.in, Flipkart, Meesho), payment gateways, and accounting tools to compute SKU-level profit, GST and TDS positions, settlement reconciliation, and related insights.

The Service is provided "as is" and "as available". We continuously develop and improve the Service; features, integrations, and pricing may change with reasonable notice.

3. Eligibility and Accounts

You may use the Service only if:

• You are at least 18 years old.
• You have the legal authority to enter into these Terms on behalf of yourself or the business you represent.
• You will use the Service for a lawful business purpose in India.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us at support@parasystemsai.com immediately if you suspect unauthorized access.

4. Free Trial

We may offer a free trial of the Service (currently 30 days from account creation). During the trial:

• No payment is required.
• You may use Service features as enabled for your plan tier.
• The trial automatically ends on the trial end date shown in your account.

After the trial ends, your account will require an active paid subscription to continue accessing the Service.

5. Subscriptions and Payments

5.1 Plans and Pricing

Subscription plans, features, and prices are displayed in-app at Settings → Plan & Billing. All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (including GST, where applicable).

5.2 Billing

• Subscriptions are billed monthly in advance.
• Payment is processed through Razorpay, our payment partner. By subscribing, you also agree to Razorpay's terms applicable to your transaction.
• We do not store your card or banking details on our servers; these are handled by Razorpay.
• We will issue a tax invoice for each payment, in compliance with applicable GST law.

5.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing cycle until cancelled. You may cancel at any time from Settings → Plan & Billing → Cancel plan.

5.4 Cancellation Effect

When you cancel, you retain access until the end of the current billing period. Your data is retained per Section 11 (Data Retention).

5.5 Refunds

Refund eligibility is governed by our Refund & Cancellation Policy at https://dhanafaa.parasystemsai.com/refund.

6. Your Data

6.1 Ownership

You retain all rights to data you upload, sync, or enter into the Service ("Your Data"). This includes your business data, product catalog, order data, settlement records, customer data, and any data fetched from connected marketplaces or payment gateways on your behalf.

6.2 Our License

You grant us a limited, non-exclusive license to process Your Data solely to operate, maintain, support, and improve the Service for you. We do not sell Your Data. We do not use Your Data to train third-party AI models.

6.3 Aggregated & Anonymized Data

We may compute aggregated, anonymized, non-identifiable statistics across our user base (e.g., "average commission across category X") to improve the Service and publish industry insights. Such statistics will not identify you or your business.

7. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose, or to violate any law or regulation.
• Misrepresent your identity or affiliation with any business.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse-engineer, decompile, or extract source code from the Service.
• Use the Service to send spam, malware, or harmful content.
• Resell, sublicense, or commercially exploit the Service without our written consent.
• Use the Service to compete with us or to develop a competing service.
• Use automated means (bots, scrapers) beyond rate limits we publish or allow.

We reserve the right to suspend or terminate your account for violation of this Section.

8. Third-Party Services and Integrations

The Service connects to third-party platforms including marketplaces (Amazon.in, Flipkart, Meesho), payment gateways (Razorpay, Cashfree), and others. Your use of those services is governed by their own terms. We are not responsible for the availability, accuracy, or behavior of third-party services.

When you authorize a connection (e.g., via OAuth or API credentials), you grant us permission to access the data needed to provide the Service on your behalf. You may revoke this access at any time from in-app settings or from the third-party platform's settings.

9. Service Availability and Modifications

We aim to keep the Service available 24×7 but do not guarantee uninterrupted access. We may perform scheduled maintenance, deploy updates, or modify features. Where reasonable, we will give advance notice of planned downtime.

We may modify or discontinue features. If we make a material adverse change to a feature you depend on, we will give you reasonable notice and, where appropriate, a path to migrate or export Your Data.

10. Intellectual Property

The Service, including its software, design, branding, documentation, and underlying technology, is owned by Srimatadevi Systems LLP. These Terms grant you no rights in our intellectual property except the limited right to use the Service per these Terms.

The name "Dhanafaa" and related logos are trademarks of Srimatadevi Systems LLP.

11. Data Retention and Deletion

• While your account is active, we retain Your Data to provide the Service.
• After you cancel your subscription or your account becomes inactive for more than 90 days, Your Data will be permanently deleted from our active systems.
• We will send you an automated email reminder 5 days before deletion so you may export your data or reactivate your account.
• Backups containing Your Data may persist up to 12 months before being overwritten in the normal course.
• You may request earlier deletion at any time by writing to support@parasystemsai.com. Some data may be retained where required by law (e.g., tax invoices for the period required under Indian tax law).

12. Confidentiality

Each party will protect the other's confidential information with reasonable care. Your business data is treated as confidential by us. Our pricing, roadmap, and non-public service details are treated as confidential by you.

13. Disclaimers

The Service is provided "AS IS" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Dhanafaa is not a tax advisor, chartered accountant, or legal advisor. Profit calculations, GST computations, TDS reconciliations, and similar outputs are based on data you provide and connected sources, and on rules we apply at the time of processing. You are responsible for verifying outputs before relying on them for tax filings, accounting, or business decisions. Always consult a qualified Chartered Accountant for tax filings.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

14. Limitation of Liability

To the maximum extent permitted by law:

• Our aggregate liability for any claim arising out of or related to the Service in any 12-month period shall not exceed the total subscription fees you paid to us in that period.
• We shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, or business, even if advised of the possibility.

Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct, or any liability that cannot be limited under applicable law.

15. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, damage, liability, or expense (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) Your Data or your use of it, or (d) your violation of any law or third-party right.

16. Termination

You may terminate by cancelling your subscription from in-app settings.

We may terminate or suspend your access immediately for: (a) material breach of these Terms, (b) non-payment, (c) suspected fraud or illegal use, or (d) any conduct that, in our reasonable judgment, poses risk to the Service or other users.

Upon termination, your right to use the Service ends, and Section 11 (Data Retention) governs Your Data.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above and, for material changes, give you reasonable notice (e.g., in-app notification or email). Continued use after the effective date constitutes acceptance of the revised Terms.
